Notice of Special General Meeting

Notice is hereby given that a Special General Meeting will be held as follows:

Date: Saturday, 13 December, 2025
Time: 1:30 PM
Venue: Cooroy Golf Club

Purpose of the Meeting:


To consider and vote on the adoption of a new Club Constitution, including the following specific changes to the draft constitution 2025 (Cooroy Golf Club Constitution For Adoption, Constitution Changes 2025 v0.2-Summary):
  1. Amendment to Section 5.2 (Terms of Office):
    • Change the term of office for management committee members from two years to one year.
    • Update related clauses to reflect this change.
  2. Correction to Section 3.2.6 (Fee Arrears Reference):
    • Correct the internal reference so that it accurately refers to the clause dealing with suspension or termination for unpaid fees.

Current and Proposed Wording:


Section 5.2 – Terms of Office
Current:

5.2.1. Subject to clause 5.2.2, the term of office for management committee members is two years.
5.2.2. Management committee members shall remain in office from the conclusion of the annual general meeting at which they were elected until the second annual general meeting following their election, but are eligible, on nomination, for re-election.
5.2.3. The management committee shall have the power to determine the sequence of retirements for management committee members to ensure rotational terms, whereby approximately one half of the management committee members retire in each year.
5.2.4. There is no maximum number of consecutive terms for which a management committee member may hold office.

Proposed:

5.2.1. Subject to clause 5.2.2, the term of office for management committee members is one year.
5.2.2. Management committee members shall remain in office from the conclusion of the annual general meeting at which they were elected until the next annual general meeting, but are eligible, on nomination, for re-election.
5.2.3. There is no maximum number of consecutive terms for which a management committee member may hold office.

Reason for the Change

In response to feedback from members, the Management Committee has decided to retain the one-year term for committee members in the proposed constitution. While a two-year term was initially considered to provide continuity, we understand that some members felt this could reduce accountability and limit opportunities for broader participation. We want to assure members that there was never any intention to diminish trust or accountability. By maintaining a one-year term, we aim to ensure that all members continue to feel empowered, and that the club’s governance remains open, responsive, and accountable. We believe this is a small but important adjustment that supports the overall benefit and unity of our club.

Section 3.2.6 – Fee Arrears Reference

Current:

3.2.6. A member who has their membership suspended or terminated under clause 3.2.4 continues to be liable to pay any unpaid membership fee, other fee or levy.

Corrected:

3.2.6. A member who has their membership suspended or terminated under clause 3.2.5 continues to be liable to pay any unpaid membership fee, other fee or levy.

Reason for the Change

To correct a typographical error.

Section 3.2.6 is necessary to ensure that members remain responsible for any unpaid fees, even if their membership is suspended or terminated due to non-payment. In practice, many members continue to play and participate at the club beyond their membership expiry, often with the intention of paying their outstanding fees during a grace period. This clause protects the club’s financial interests by making it clear that outstanding debts remain payable, regardless of a member’s status, and helps maintain fairness and accountability for all members.

This Special General Meeting will follow the Club’s Christmas Ambrose event, making it a wonderful opportunity for us to come together as a club, celebrate the end of another successful year, and look forward to the future. By considering and adopting a new constitution at this time, we can finish the year on a positive note and set the stage for a strong, united, and well-governed club in the new year. We encourage all members to join us for both the festivities and this important decision for our club’s future.
